Terms of Service & End-User License Agreement (EULA)
Effective: 2025-08-18 · Version 1.0 · Applies to EthicOps software and the Kame-Ha Optimizer.
By downloading, installing, or using our software, you agree to these Terms and the EULA. If you do not agree, do not download or use the software. These terms grant you a license; they do not sell you our intellectual property.

1) License Grant & Scope
EthicOps grants you a personal, non-exclusive, non-transferable, revocable license to install and use the software on computers that you own or control.
Standard & Pro
- Standard: full core features for performance & privacy profiles.
- Pro: adds scheduled profiles, rollback checkpoints, and additional hardening presets. Pro features are licensed to the same user as Standard.
Per-user, reasonable devices
Licenses are per person for your own devices under your control. A reasonable number of installations for that one user is permitted (e.g., desktop + laptop + test VM). You may not share a license with others.
Commercial use
Use on your work devices is allowed. Managed service providers (MSPs) or consultants must obtain a separate commercial arrangement before deploying to client machines.
Perpetual license; updates included
Licenses are perpetual; updates are included at no additional charge. Optional add-ons may be offered separately.
2) Restrictions
- No unauthorized reproduction or distribution: Any unauthorized copying, distribution, resale, “cracking,” key-sharing, or publishing of license keys is illegal and strictly prohibited.
- No redistribution, sublicensing, reselling, or providing the software as a hosted service.
- No circumvention of license, security, or signing mechanisms.
- No reverse engineering, decompilation, or modification except where permitted by applicable law.
- No use for unlawful activity, stalking/harassment, or to intentionally damage systems.
- No automated scraping or rate-abuse of our websites or update endpoints.
3) Ownership
The software is licensed, not sold. EthicOps retains all rights, title, and interest, including all intellectual-property rights.
4) Updates & Changes
- The software does not include telemetry or analytics. Updates are offered for you to download and install.
- We may modify features, publish new versions, or withdraw legacy versions that are insecure.
5) Privacy
We do not collect telemetry from the software or this site. Payments are processed by PayPal; we do not receive card numbers. See our Privacy Policy for details.
6) Verification & Authenticity

7) Payments, Refunds & Chargebacks
- Payments are handled by PayPal or its partners. Taxes, if any, are your responsibility.

- Chargebacks or fraudulent activity may result in license deactivation.
8) Warranty Disclaimer
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SOFTWARE AND WEBSITE ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
9) Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ETHICOPS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SOFTWARE OR THESE TERMS IS LIMITED TO THE AMOUNT YOU PAID (IF ANY) FOR THE LICENSE.
10) Indemnification
You agree to defend, indemnify, and hold harmless EthicOps from claims arising out of your misuse of the software or violation of these terms.
11) Termination
We may suspend or terminate your license if you materially breach these terms. Upon termination you must stop using the software and destroy any copies. Sections intended to survive (ownership, warranty, liability, etc.) will continue.
12) Export & Sanctions
You must comply with all applicable export-control and sanctions laws. You represent that you are not located in, under the control of, or a national/resident of any embargoed country or prohibited party list.
13) Governing Law & Venue
These terms are governed by the laws of the State of Minnesota, USA, excluding its conflict-of-laws rules and the U.N. Convention on Contracts for the International Sale of Goods. Exclusive venue for disputes is in state or federal courts located in Hennepin County, Minnesota.
14) Binding Arbitration & Class-Action Waiver
Agreement to Arbitrate. To the fullest extent permitted by law, any dispute, claim, or controversy arising out of or relating to these Terms or the software will be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The Federal Arbitration Act (FAA) governs the interpretation and enforcement of this section.
Class/Representative Actions Waiver. You and EthicOps agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any purported class or representative proceeding.
Venue/Costs. Unless you and EthicOps agree otherwise, arbitration hearings will occur in Hennepin County, Minnesota, or by video/phone as permitted by the AAA Rules. The AAA rules will govern fees; we will pay filing/administrative fees for non-frivolous claims to the extent required by law.
Small-Claims Option. Either party may bring an individual action in small-claims court in Hennepin County, MN instead of arbitration.
30-Day Opt-Out. You may opt out of this arbitration provision by emailing [email protected] with subject “Arbitration Opt-Out,” within 30 days of first accepting these Terms. Your email must include your name, address, and proof of purchase/license.
15) Unauthorized Reproduction & DMCA
Unauthorized reproduction, distribution, public posting of license keys, or creation of derivative works is prohibited and may violate copyright and other laws. We respond to valid DMCA notices. For takedown requests, contact [email protected].
16) Open-Source & Third-Party Notices
The software may include or interact with open-source components, each governed by its own license. Where required, notices will be included in the distribution. “Windows” and related marks are trademarks of Microsoft Corporation.
17) Changes to These Terms
We may update these terms from time to time. We will post the updated version on this page and update the effective date. Your continued use constitutes acceptance of the changes.
